Agreement
By downloading, installing, or using GhostDesk ("the Software"), you agree to be bound by these Terms of Service in their entirety. If you do not agree to any provision of these terms, you must immediately cease all use of the Software and delete it from your device.
License
GhostDesk grants you a personal, non-exclusive, non-transferable, revocable license to use the Software on one device per license purchased. Pro licenses are valid for the duration of your active subscription. Lifetime licenses are perpetual but remain subject to these terms. This license may be revoked at any time if you violate these terms.
Launch free period
GhostDesk is free for all users during the launch period (until March 13, 2026). No account or credit card is required. After the launch period ends, a paid license is required to continue using the Software.
Intended use
GhostDesk is designed as a general-purpose AI productivity overlay for legitimate personal and professional use — including coding assistance, research, writing, and workflow automation. The Software is a tool; how you use it is entirely your decision and your responsibility.
⚠ Disclaimer of responsibility for misuse
GhostDesk is provided strictly as a productivity tool. The developer(s) of GhostDesk do NOT endorse, encourage, or condone the use of this Software for cheating on exams, interviews, assessments, certifications, academic assignments, standardized tests, hiring processes, or any other evaluation where the use of unauthorized external assistance is prohibited. By using this Software, you acknowledge and agree that: (1) YOU are solely and entirely responsible for how you use GhostDesk; (2) the developer(s) bear ZERO responsibility or liability for any consequences arising from your use of the Software, including but not limited to academic disciplinary action, termination of employment, disqualification from hiring processes, revocation of certifications, legal proceedings, or any other penalty; (3) you will comply with all applicable rules, policies, honor codes, terms of service, and laws governing any context in which you use the Software; (4) the screen-capture exclusion feature is a technical capability of the Windows operating system — its availability does not constitute an invitation or encouragement to use it for deceptive purposes.
Assumption of risk
You expressly assume all risk associated with your use of GhostDesk. You understand that the Software includes features (such as overlay invisibility, screen capture exclusion, and click-through mode) that could be misused in contexts where they are not permitted. The mere existence of these features does not imply that their use is appropriate in every situation. It is YOUR obligation to determine whether use of the Software is permitted in any given context.
Indemnification
You agree to indemnify, defend, and hold harmless the developer(s) of GhostDesk, its affiliates, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use or misuse of the Software; (b) your violation of these terms; (c) your violation of any third-party rights, policies, rules, or laws; (d) any consequences you face as a result of using the Software in prohibited contexts.
No warranty
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THE OVERLAY WILL BE UNDETECTABLE IN ALL CIRCUMSTANCES.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE DEVELOPER(S) OF GHOSTDESK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF EMPLOYMENT, LOSS OF ACADEMIC STANDING, REPUTATIONAL DAMAGE, LOSS OF INCOME, OR LOSS OF DATA, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE 12 MONTHS PRECEDING THE CLAIM.
Payments & refunds
Payments are processed by Stripe. Pro subscriptions can be cancelled at any time with no further charges. We offer a 14-day refund policy for Lifetime licenses if the Software does not meet your expectations.
Your data
You retain full ownership of all content you create, send, or receive through GhostDesk — including conversations, screenshots, and voice recordings. We claim no rights to your data. See our Privacy Policy for details on data handling.
AI usage
GhostDesk includes built-in AI access. AI usage is included in your plan — no API keys are needed. Free plans use Groq and Deepgram models; paid plans upgrade to OpenAI models. Fair-use limits may apply to prevent abuse.
Acceptable use
You may not reverse-engineer, decompile, or redistribute the Software. You may not use GhostDesk to: violate any applicable law or regulation; infringe on intellectual property rights; impersonate another person during an assessment; gain unauthorized access to any system; or engage in any activity that could expose the developer(s) to liability.
Termination
We reserve the right to terminate your license at any time, for any reason, without notice or refund. Upon termination, you must immediately cease all use of the Software and delete all copies.
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Governing law
These terms shall be governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration rather than in court, except where prohibited by law.
Changes
We may update these terms at any time. Continued use of the Software after changes constitutes acceptance. Material changes will be communicated via email to registered license holders.
